The candidate provides general legal counsel and advice to Support Center management staff in the areas of mergers and acquisitions, securities laws and general corporate matters. Provides company management with legal services related to mergers, acquisitions and joint venture arrangements or other strategic partnerships. Drafts general business contracts, e.g. vendor, software, information systems, & marketing and distribution agreements. Advises senior management on securities law matters including SEC compliance issues, rule 144 transactions, Section 16 compliance and stock sales. Provide legal assistance to support company's debt and financing activities. Assist corporate legal function with general corporate matters including corporate governance and organization structure. Should have a Juris Doctor Degree. Admission to State Bar required. Should have 6
years of legal counsel experience in corporate or transactional practice. Knowledge of corporate and securities laws and related regulatory issues needed. Computer literacy essential.Estimated Salary: $20 to $28 per hour based on qualifications.
